These terms and conditions apply to all offers, agreements and services of Manstory Cars, located at Keurmeesterstraat 37, 1187 ZX Amstelveen, the Netherlands (hereinafter "Manstory"). By making an enquiry or entering into an agreement with us, you accept these terms.
1. Applicability
These terms apply to all offers and agreements of Manstory, whether they concern sales, consignment, import or brokerage. Deviations are only valid if agreed in writing. The other party's terms do not apply unless we have expressly accepted them in writing.
2. Offers
All offers and price indications on our website and in quotes are non-binding, unless expressly stated otherwise. Photographs, mileage, options and trim details are compiled with care but are indicative. Obvious clerical errors do not bind us. An offer remains valid at least until the moment of sale to a third party.
3. Formation of the agreement
An agreement is formed as soon as we have confirmed an order or instruction in writing, or have begun its execution in fact. For consignment and import journeys we record the arrangements in a separate agreement covering, among other things, target price, commission or cost estimate, lead time and termination conditions.
4. Prices and payment
All prices are stated in euros and - unless stated otherwise - include VAT and Dutch BPM but exclude any registration, transport or detailing costs. Payment of the purchase price must - unless agreed otherwise - be received in our bank account before delivery. The vehicle remains our property until full payment has been received (retention of title).
5. Delivery
Delivery times are always indicative and never qualify as binding deadlines, unless expressly agreed in writing. Delivery takes place at our showroom or - for a pre-agreed fee - at your location. From the moment of delivery the vehicle is at the buyer's risk.
6. Import
For import instructions we arrange - unless agreed otherwise - the selection, inspection, purchase, transport, RDW inspection and BPM filing. We submit the BPM filing on the basis of the actual condition of the vehicle, supported by documentation. Any subsequent reassessment by the Dutch tax authority is for the client's account, unless it results from a demonstrably culpable error on our side. The import fee is set transparently in advance.
7. Consignment
For consignment sales we enter into a separate agreement covering target price, commission, term and payout conditions. During the consignment period the vehicle is insured under our dealer policy for damage, theft and liability during test drives under our supervision. Payment of the net proceeds takes place within five working days of receipt of the full purchase price from the buyer. The consignor remains the owner until the moment of sale.
8. Warranty
We provide a dealer warranty on vehicles we deliver, on the conditions attached in writing to the agreement. Duration and scope depend on year of manufacture, mileage and any remaining factory warranty. Normal wear and tear and defects disclosed during the pre-sale inspection are not covered by the dealer warranty.
9. Liability
Save for wilful misconduct or gross negligence, our liability is in all cases limited to the amount paid out by our liability insurer in the relevant case. If the insurer does not provide cover, our liability is limited to the invoice value of the relevant instruction. We are not liable for indirect or consequential losses.
10. Complaints
Complaints about a vehicle or service delivered by us must be reported in writing within fourteen days of discovery via Manstorygroup@gmail.com. We aim to resolve complaints within four weeks. Complaints about hidden defects must be reported within a reasonable period of discovery and at the latest within the warranty period.
11. Termination
We are entitled to terminate or suspend the agreement if the other party fails to pay, has been declared bankrupt, or if circumstances arise that reasonably make performance impossible - without judicial intervention and without any liability for damages on our part.
12. Governing law and disputes
Dutch law applies exclusively to all agreements with Manstory. Disputes that cannot be resolved through dialogue will be submitted to the competent court of the District of Amsterdam, unless mandatory law designates another court.
13. Final provisions
If one or more provisions of these terms are declared void, the remaining provisions remain in full force. We reserve the right to amend these terms. The version applicable at the moment of the agreement always applies.
